| Often acquisition of a company is a more sensible alternative to developing products and markets on your own. After analysis of the possible investment targets around the world a list of companies is developed; and these companies are approached – depending on the priority. In this case as well sensitivity and seriousness are the top priorities. This particularly applies when you are dealing with a company from a different cultural milieu. For example, contract negotiations are conducted completely differently in China and in the USA. It is highly probable that the project will fail due to a lack of knowledge of the behavioral rules. For a planned acquisition – at least for a larger acquisition – we proceed according to the following structure:

1. Identification of the optimal time frame, clarification of the integration team 2. Selecting and approaching the potential target companies 3. Signing a declaration of intent, discussions with (managing) employees in the target company 4. Performance of a company analysis relative to the market as well as the legal and financial aspects 5. Negotiating a binding offer 6. Contract negotiations 7. Signature, transfer of ownership 8. Taking over the management of the company and operative management 9. Post-acquisition phase/integration |
